MySize, Inc., a leader in AI-driven retail solutions and omnichannel e-commerce platforms, has announced the acquisition of key assets from Percentil, a prominent managed marketplace for second-hand fashion. This acquisition was made through its newly-formed, wholly-owned subsidiary in Spain, New Percentil, S.L.. The deal follows insolvency proceedings in Spain for Percentil's former owner. Percentil operates across Spain, France, Germany, and Italy and has a strong focus on sustainable fashion through high-quality second-hand items.
Founded with the goal of promoting sustainable fashion, Percentil grew into a premium re-commerce player. Its managed marketplace model ensures high product quality and aims to outperform peer platforms like Vinted in profitability and customer retention. MySize plans to reposition Percentil as a premium marketplace, focusing on higher-value items and a premium re-commerce experience. This shift aligns with consumer demand for quality and sustainability.
Strategic Shift with Profitability at the Core
Post-acquisition, MySize intends to position the platform for higher-margin resale experiences, focusing on sustainability and scalability. Ronen Luzon, CEO of MySize, stated, “Our goal with Percentil is clear: build a profitable, scalable, and sustainable circular fashion business from day one. We are focused on smart, cash-efficient scaling—generating EBITDA-positive returns from the very beginning.”
A Strategic Acquisition
The acquisition, with a total transaction value of approximately €610,000 (about $679,000), includes a €40,000 (around $44,500) cash payment and the assumption of customer and labor liabilities, alongside debt and social security payments totaling €570,000 (around $634,500). The deal was financed using MySize’s existing cash reserves without the issuance of additional shares or debt. MySize anticipates that Percentil’s business unit will generate $1.5 million in revenue in the second half of 2025, representing a 25% increase in total revenue and improved profitability.
“We believe this is a strategically sound and financially compelling acquisition,” added Luzon. “With minimal upfront investment, we have secured a revenue-generating business with deep logistics capabilities and growing customer demand.”
Unlocking Circularity as a Service
Through this acquisition, MySize is launching a B2B resale solution called ‘Circularity as a Service,’ which helps brands monetize overstock and returns by integrating with Percentil’s platform. The scalable offering targets fashion brands seeking to comply with new EU regulations for garment reuse plans. Pilots with companies like Springfield (Tendam Group) and C&A confirm the demand for this model among major retailers.
The SaaS-based monetization model offers recurring revenue streams and scalability, with a total addressable market (TAM) for second-hand fashion in Western Europe estimated to exceed $25 billion by 2027, according to reports from ThredUp and Statista.
Synergies with MySize Portfolio
Percentil complements MySize’s existing portfolio, which includes:
- Naiz Fit: A solution providing brands with size and fit tools to reduce returns and enhance re-commerce capabilities.
- Orgad: MySize’s e-commerce and logistics unit, which will partner with Percentil to optimize overstock and returns.
MySize’s AI technology, used in solutions like MySizeID and Naiz Fit, will be integrated into Percentil’s platform to optimize pricing, enhance product recommendations, and improve operational efficiency, boosting customer satisfaction and streamlining inventory management.
What's Included in the Acquisition
MySize acquired several key assets from Percentil, including:
- 17 employees, including the former CEO and CMO
- The central warehouse and proprietary quality control systems
- AI-powered pricing engine and garment assessment tools
- A stock of over 120,000 quality-vetted garments
Positioned for Growth with EU Regulatory Tailwinds
This acquisition also positions MySize well with the upcoming European Union regulations on textile circularity, which will require brands to implement reuse, recycling, and waste-reduction frameworks. MySize sees Percentil as an essential partner for brands navigating regulatory compliance and meeting consumer demand for sustainability.
“With the EU leading global efforts in textile circularity, second-hand platforms like Percentil are becoming critical infrastructure for the fashion industry,” said Luzon. “Percentil gives us a front-row seat in this transformation.”
