Schneider Electric has agreed to acquire U.S.-based industrial software company PTC for approximately $22.6 billion in cash. Under the agreement, Schneider will pay $205 per PTC share, representing a 42.3% premium to PTC's previous closing price.
The acquisition is designed to strengthen Schneider Electric's position in industrial software, AI and digital transformation. PTC brings capabilities across computer-aided design, product lifecycle management and engineering data, which Schneider plans to combine with its existing industrial software and AI portfolio.
Schneider expects the deal to generate around €250 million in annual cost synergies and approximately €800 million in revenue synergies. If approved by shareholders and regulators, the transaction is expected to close by Q3 2027.
